Atlas Digital Capital
Buy-side advisory

Acquire withinstitutional discipline.

Atlas Digital Capital sits on the buyer's side of the table. We define the thesis, pressure-test the target, and run a disciplined process from first conversation to close — so capital goes to work on the right business, at the right structure.

We are not business brokers. We have no inventory to move, and no incentive to tell you a deal is good.

Whose side of the table are they on?

A retail broker is compensated to move a listing. That is a fundamentally different job than protecting your capital. We take the buyer's mandate, and only the buyer's mandate — which means our job is as often to talk you out of a deal as into one.

  1. 01

    No inventory to push

We do not carry listings and we are not paid to clear them. Every business you see from us is screened against your thesis first, not pulled off a shelf.

  2. 02

    Capital protection comes first

We set walk-away criteria with you in writing before diligence opens. When a target breaks them, we say so plainly — we would rather lose the fee than watch a client buy a problem.

  3. 03

    Institutional discipline, mid-market reality

The diligence rigor of an institutional process, scoped for deals that cannot absorb a bulge-bracket fee load. Full checklist, no theater.

  4. 04

Operators who have sat in the chair

Our team has built, bought and run companies — not just papered transactions. We read an owner's numbers the way a buyer who has to live with them reads them.

The playbook

Every engagement runs the same checklist.

Acquisitions fail in predictable places. The roadmap exists so none of those places arrive as a surprise: each phase has defined owners, defined deliverables, and a decision gate to clear before we spend another dollar of your capital.

  1. 01

    Thesis & mandate

Define what you are buying and why: industry, size, business model, geography, operating role, return threshold. Written walk-away criteria. This is the document every later decision is measured against.

  2. 02

    Origination & screening

Owner-direct outreach and network origination against the mandate, plus screening of inbound opportunities. You review a short list with a reason for each name — never a forwarded listing sheet.

  3. 03

    Valuation & structure

Normalized earnings, working-capital requirements, customer and supplier concentration, capex reality. Then structure: cash at close, seller paper, earnout, rollover — and what each does to your downside.

  4. 04

    Diligence execution

The phase that protects the check. Quality of earnings, legal and corporate, customer and contract review, technology and data, insurance and risk, people and key-person exposure. We coordinate the specialists and hold the calendar.

  5. 05

    Financing & documentation

Lender and capital introductions, term comparison, and management of the purchase-agreement process alongside your counsel — representations, warranties, indemnity, escrow, and the closing conditions that matter.

  6. 06

Close & the first 100 days

Funds flow, transition services, and the operating plan for the first hundred days: retention of key staff, customer communication, systems, and the reporting cadence that tells you early if the thesis is holding.

The private buyer network

Curated deal flow, aligned to your thesis.

Our network is private and it is not a blast list. Register your acquisition mandate and you are screened into — or deliberately out of — each opportunity we originate. You hear from us when something genuinely fits, with the reasoning attached.

  1. 01

    Register your mandate

Industries, size range, business model, geography, and the operating role you want.

  2. 02

    We screen against it

Every origination is matched to live mandates before it travels any further.

  3. 03

    You see only what fits

A thesis-aligned brief, direct to your inbox, with the reasoning attached.

Register your acquisition mandate

The more specific the mandate, the better the match. Everything below reaches our advisory team directly.

The vetted bench

The specialists a deal actually needs.

A buy-side process is only as strong as the bench behind it. We make direct introductions to firms we have worked alongside on closed transactions — and there is no obligation to use them.

  • 01

    M&A legal counsel

Transaction attorneys who work in this deal size daily — purchase agreements, reps and warranties, escrow and indemnity structures.
  • 02

    Quality of Earnings & accounting

Independent QoE providers who normalize earnings, test working capital, and find the adjustments that move a purchase price.
  • 03

    Digital & technology diligence

Specialists for systems, data, security posture, and the technical debt that becomes your capital expenditure in year one.
  • 04

    Insurance, risk & R&W

Risk review and representations-and-warranties coverage where it changes the negotiation.
  • 05

    Debt & capital markets

Lenders and capital partners active in the lower middle market, with term structures compared side by side.

Introductions are made at the client's discretion. Atlas Digital Capital does not provide legal, accounting, tax or insurance services.

Bring us your thesis.

Whether the mandate is fully formed or still a direction, the first conversation is the same: what you are trying to own, what you will not accept, and whether we are the right partner to go get it. Confidential, and no obligation.
